This Privacy Policy explains our policy regarding the collection, use and disclosure of Your personal information.This Privacy Policy will be continuously assessed against new technologies, business practices and our users’ needs. As we update, expand and diversify our products and services, this Privacy Policy may evolve. Please check this Privacy Policy from time to time for updates by checking the date of the “Last Update” at the top of this document. We will post any Privacy Policy changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain services, email notification of privacy policy changes). A link to our Privacy Policy will be provided on the home page of our Web sites and is accessible at https://www.kritik.io/policy/privacy-policy. All changes will take effect within 30 days of being posted on our home page or otherwise notified to users unless a shorter period of time is required in order to comply with applicable laws.  You acknowledge and agree that Your access of our Web sites and Your use of our services following any posted changes to the Privacy Policy indicate Your acceptance of such changes.We also encourage You to review the Terms of Service (the “Terms of Service”), the agreement between You and KRITIK that governs Your use of the Web site, as well as provides the terms and conditions under which KRITIK provides, and You may use, the KRITIK services and mobile applications in order to have access to our student engagement services (the “KRITIK Services”). The Privacy Policy is incorporated into and made a part of the Terms of Service.

Application of This Policy
At KRITIK, we are committed to protecting the privacy of our users, which is why we do not sell or rent any personal information (as defined in “What is Personal Information”) regarding our users to any third party. We may use certain cookies, pixels, analytics tools, advertising technologies, and similar technologies on our website as described in the “Cookies and Tracking Technologies” section of this Privacy Policy. We hope this Privacy Policy will answer your questions regarding how we treat personal information gathered from visitors to our websites and users of the KRITIK Services.

What is Personal Information
For the purposes of this Privacy Policy, “personal information” means information or an opinion that identifies a living individual or can be used to identify an individual, including but not limited to Your name, address, e-mail address, country of residence, IP address, device identifiers, cookie identifiers, browser type, usage data, and other online identifiers where such information identifies or can reasonably be linked to an individual, as well as other information when such information is combined with other information (e.g. name of education institution, student ID, grades, cell phone number). Personal information does not include business contact information (for example, if You are an administrative user on behalf of an educational institution, your email address at the institution might not be deemed personal information except in Australia where this sentence does not apply). Except in Australia, personal information also does not include “aggregate” information or de-identified information, which is data we collect about and through the use of our website and the KRITIK Services and may include anonymized data which does not identify any individuals and cannot be traced back or linked to an identifiable individual. Our privacy policy does not restrict or limit our collection and use of aggregate or de-identified information, or other types of non-personal information.

Consent
You acknowledge and agree that by accessing our website, using our mobile applications or using the KRITIK Services more generally, you fully understand, accept and voluntarily consent to the collection, use, retention and disclosure of personal information in accordance with this privacy policy. It is always your choice whether or not you provide us with your personal information; however, a decision to withhold personal information may restrict or prevent us from providing you with a particular product or service, including access to any subscriber features of the KRITIK Services. We will only collect, use, and disclose your personal information in accordance with this privacy policy, except where otherwise permitted or required by applicable law or regulatory requirement.

Where required by applicable law, we will seek consent before using certain non-essential cookies, tracking technologies, or sending marketing communications. You may manage certain preferences through your browser settings, cookie preferences where available, account settings, unsubscribe links included in marketing communications, or by contacting us. You may also opt out of receiving marketing emails, SMS messages, or other promotional communications at any time, subject to applicable legal and operational requirements.

Collection of Personal Information
In order to use certain features of our services, you must first complete a registration process and establish an account (“Account”). During registration for your account, you will be required to provide basic information such as your first and last name, educational institution, valid email address for your educational institution, and establish a password (“Account Information”). KRITIK will retain Account Information and associate it with your Account.

We may collect and process personal information including account and profile information, such as registration details and account credentials; institution and course information, including information related to your educational institution, courses, instructors, and enrollment; student activity and submission data, including login activity, assignment submissions, peer reviews, responses to questions, feedback, grades, and other interactions with the services; faculty and instructor activity data, including course administration activities, evaluations, feedback, and use of instructional features; payment and billing information, including billing addresses, payment-related details, and transaction information required to process purchases, noting that credit card information is securely collected and transmitted directly to payment processors and is not retained by KRITIK in any form; website and device information, including IP address, browser type, device information, pages visited, referring pages, approximate location information, and interactions with our websites and services; communications and support information, including information you provide when contacting us for support, responding to surveys, or communicating with us regarding the services; chat and support information, including information submitted through a live chat, chatbot, help widget, or support form, together with related technical information such as timestamps, IP address, browser information, and page activity, where applicable; and AI-related product information, including information necessary to provide AI-enabled features within the KRITIK Services, as further described in our Data Policy for AI Purposes, where applicable.

We do not control the educational institution's use of these features; however, we will not use your contact information to contact you for any non-KRITIK service-related purposes, and we will not share it with third parties except as described in this privacy policy. If you have selected at any time not to receive communications by SMS or phone, we will respect that choice.

For students, our servers automatically record information about your use of the system, such as when you log in, submit answers to questions, participate in peer assessments, or provide feedback to an instructor. We associate this information with your account. Instructors may use such information for academic evaluation purposes. We store and maintain personal and associated account information in order to provide the system.

KRITIK may conduct statistical analyses on student performance to study the effectiveness of the KRITIK Services and improve learning outcomes. No identification of users will be revealed to any third party through such analyses. We do not sell, rent, trade, or otherwise disclose personal and associated account information about our users except as described in this privacy policy.

In addition, to place an order for certain services (e.g., access to licensed content), KRITIK may require that you provide payment information such as credit card numbers and billing addresses, and KRITIK may also collect your IP address. Credit card information, including the card number, expiry date, and security code, is securely collected by us and passed directly to payment processors over a secure socket layer (see the section entitled “Payment Processor” below). Credit card data is not retained by KRITIK in any form.

Use of Your Personal Information
This section includes marketing, product improvement, analytics, website performance, advertising and marketing measurement, security, and operational purposes. KRITIK may use personal information that you voluntarily provide to provide, operate, maintain, and improve the KRITIK Services; support teaching, learning, assessment, collaboration, and other educational workflows; create, manage, and authenticate user accounts and provide access to the System; process payments, subscriptions, transactions, and related administrative functions; provide Institution/Faculty with information about new products, services, newsletters, informative emails, research on future product ideas or improvements, and other updates where permitted by applicable law; assist us in creating, improving, personalizing, or providing content, features, and services that are relevant to you; provide Institution/Faculty with special offers or promotional materials that may be of interest where they have opted in to receive such communications; assist us in creating better products and services to meet the needs of Institution/Faculty and users of the KRITIK Services; allow you to purchase and download products, obtain access to the System, or otherwise engage in activities you select; provide technical support, customer service, troubleshooting, and account assistance; help you quickly find software, services, or product information relevant to Institutions/Faculty; send transactional or service-related communications, including welcome messages, account notifications, product or service confirmations, updates, security alerts, and administrative notices; analyze website usage, measure website performance, understand visitor engagement, and improve our website, products, and services; use analytics, cookies, pixels, and similar technologies to evaluate functionality, improve user experience, and understand how the KRITIK Services are used; use advertising and marketing technologies, where permitted by law, to understand the effectiveness of our campaigns and provide relevant communications to institutional and faculty audiences; detect, prevent, investigate, and respond to security incidents, fraud, misuse, violations of our terms, or unauthorized access to the KRITIK Services; restrict the availability of certain products, services, or content where required for legal, regulatory, contractual, or compliance reasons by using your address, IP address, and other relevant information; and comply with applicable laws, regulations, legal processes, and enforcement requests.

KRITIK may also send Institutions/Faculty surveys, product announcements, service updates, or marketing communications regarding new products, services, features, events, or other information that may be of interest, where permitted by applicable law or based on applicable consent requirements.

Disclosure of Your Personal Information
KRITIK will not sell or rent your personal information to any other party and will only use and disclose your personal information for the purposes for which it was collected, as described in this Privacy Policy. However, you agree that KRITIK may disclose your personal information in the following circumstances.

If you are a student, KRITIK may disclose your personal information to administrators and instructors at your academic institution, including your teachers and teaching assistants. KRITIK may disclose your personal information with your prior consent, or the consent of your parents or legal guardians if You are under 18 years old.

KRITIK may be required by law to disclose personal information without Your consent in emergency situations or when required by a government authority, valid legal process, or other legal obligation. KRITIK may also disclose Account Information to the administration of any institution at which you are a professor or instructor for administrative purposes, including enabling the institution to compile a list of instructors who use the Services and to contact such instructors in order to obtain references and evaluate implementation of the Services.

KRITIK may disclose personal information to third parties in connection with a corporate reorganization, merger, amalgamation, acquisition, or the sale of all or substantially all of our assets, provided that any party to whom the information is disclosed is bound by agreements or obligations requiring the use and disclosure of Your personal information in a manner consistent with this Privacy Policy, unless you consent otherwise.

KRITIK may share your personal information with service providers who perform services on our behalf. For example, we may engage companies to process payments, collect debts, provide data storage, host websites, fulfill orders, assist with direct marketing, conduct audits, provide analytics services, support customer communications, operate customer relationship management and marketing automation tools, provide advertising and measurement services, maintain security systems, or support artificial intelligence-related functionality where applicable.

We may share personal information with service providers and subprocessors that help us provide, secure, analyze, and improve our websites and services. These may include hosting providers, cloud infrastructure providers, payment processors, analytics providers, customer support and chat tools, communications providers, CRM and marketing automation tools, advertising and measurement tools, security tools, and AI-related service providers where applicable. For Australian users, by accepting our Terms and Conditions and continuing to use our Website or Services, you expressly consent to us disclosing your personal information to persons and entities in other countries ("Overseas Recipients") for the purposes described in this Privacy Policy. Please be aware that, by providing such consent, the requirement under Australian Privacy Principle (APP) 8.1 to take reasonable steps to ensure that an Overseas Recipient does not breach the APPs (other than APP 1) under the Privacy Act 1988 (Cth) may not apply to KRITIK. How to Opt-Out / Withdraw Consent
You may withdraw your consent for the use of your personal information at any time by requesting the deletion of your account, providing written notice to us, or exercising any applicable privacy rights available to you under relevant law. Retention of Personal Information
KRITIK maintains information about you for as long as we provide services to you, and for as long as it remains necessary for the purposes described in this Privacy Policy or as required by applicable law, which may extend beyond the termination of our relationship with you. Retention periods may vary depending on the type of information, the nature of our relationship with you or your institution, contractual requirements, legal obligations, dispute resolution needs, security requirements, and legitimate business purposes. We may retain certain information as necessary to prevent fraud or misuse, maintain security, recover accounts, comply with legal obligations, enforce our agreements, or support analysis using aggregated or de-identified information. All retained Personal Information will remain subject to the protections described in this Privacy Policy. If you request deletion of your Personal Information, we will take reasonable steps to delete or de-identify the information, subject to technological limitations, legal requirements, contractual obligations, and legitimate business needs that may require us to retain certain information for a longer period.

Safeguards We Have in Place
KRITIK stores and processes your personal information on our servers principally in Canada and the United States, as well as internationally. Accordingly, your data may be available to government bodies or their agencies in those jurisdictions under a lawful order, irrespective of the safeguards we have put in place for the protection of your personal information. KRITIK employs reasonable administrative, technical, and organizational safeguards to help protect your personal information. These safeguards may include access controls, encryption, secure hosting practices, monitoring, internal policies, employee training, and vendor security review processes, where appropriate. In addition, our dedicated team of information technology professionals works to maintain data accuracy and prevent unauthorized access to sensitive information. Unfortunately, no security system can be guaranteed to be 100% secure. Accordingly, we cannot guarantee the security of your personal information and do not assume any liability for improper access to it. The internet is not a secure medium, and you acknowledge and agree that the privacy of your email communications and personal information can never be guaranteed, as any email communication may be lost, intercepted, or altered. Compliance with the Family Education Rights & Privacy Act (FERPA)
In the United States, the Family Educational Rights and Privacy Act, 20 U.S.C. § 1232(g), restricts the disclosure of personally identifiable information from a student’s education records unless an exception applies. For U.S. users, KRITIK’s data protection and privacy practices are designed to support compliance with FERPA and other applicable federal and state education privacy laws. Where KRITIK provides services to educational institutions, the institution may determine how certain student education records are collected, used, disclosed, and maintained in accordance with applicable law and its agreements with students and families. KRITIK maintains the confidentiality of FERPA-covered student data and uses such information only to provide, support, secure, and improve the services made available to schools and their students, as permitted by applicable law and KRITIK’s agreements with educational institutions. Users may also have specific rights relating to access, correction, or updates to personal information where FERPA applies. Additionally, peer grading, as facilitated through KRITIK, is not considered a disclosure of education records prohibited by FERPA and may be permitted under applicable FERPA regulations. Collection of Non-Personal Information
You acknowledge and agree that, from time to time, KRITIK, its service providers, and business partners may collect information about your use of our website and services through cookies, pixels, web beacons, tags, scripts, software development kits, local storage technologies, server logs, and other similar technologies. These technologies may collect information such as IP address, device information, browser type and version, operating system, screen resolution, pages visited, referring pages, interactions with our website and services, and other usage and performance data. We use these technologies to provide essential website functionality, authentication, security, fraud prevention, analytics, performance measurement, marketing, advertising, campaign attribution, customer relationship management, service improvement, and a better overall user experience. KRITIK may offer AI-enabled features as part of the KRITIK Services, including VisibleAI and other AI-powered functionality integrated into the platform. We process information related to these features only as necessary to provide, secure, monitor, maintain, and improve the services, subject to our agreements with educational institutions, applicable law, and our commitment to protecting student privacy. We implement reasonable safeguards designed to protect personal information and support the responsible use of AI technologies within our services. When you leave our websites, you acknowledge and agree that our terms and policies do not govern your access to, and use of, other websites. Social Media Widgets
Our website may include social media features, such as the Facebook button, and widgets, such as the “Share this” button or interactive mini-programs that run on our website. California residents may have the right to opt out of the sale or sharing of personal information, as those terms are defined under applicable California law. KRITIK does not knowingly sell or share the personal information of individuals under the age of 16. We will not discriminate against you for exercising any privacy rights available under applicable law. United Kingdom and European Union Residents

Australian Users

Payment Processor
KRITIK uses Braintree (http://braintreepayments.com/), PayPal (http://paypal.com), and Stripe (https://stripe.com) as payment processors for our services. You acknowledge and agree that KRITIK may disclose personal information to Braintree, PayPal, and Stripe, such as your name and email address, so that Braintree, PayPal, or Stripe may contact you directly for personal information, such as credit card information. KRITIK provides payment processors with the minimal set of personal and billing information required to process your payment and minimize fraudulent payment risk. You acknowledge and agree that KRITIK makes no representation, warranty, covenant, or claim regarding, and KRITIK expressly disclaims and denies any responsibility or liability for, directly or indirectly, the privacy practices regarding any personal information that we disclose on your behalf, that you provide to Braintree, PayPal, or Stripe directly, or that you provide to any other party in relation to purchasing a product or service from our websites. You acknowledge and agree that our terms and policies do not govern any other party. You acknowledge our recommendation to review the applicable privacy and data gathering practices of any third party to which you provide personal information.

Online Privacy of Users Under 13
This Privacy Policy describes how KRITIK collects, processes, uses, and shares information that we collect from all users, including children. In the United States, the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501–6506, governs the collection and use of personal information from children under 13. We only collect personal information from children in the United States who are under 13 if the child’s parent or legal guardian has provided us with the necessary consent, or if the child’s educational institution has contractually agreed to obtain parental consent for the child to use KRITIK services and to disclose information to us for educational purposes. Parents and legal guardians of these users have the right to review or have deleted the child’s personal information and refuse to permit its further collection or use by emailing info@kritik.io. KRITIK operates the sites and services that collect personal information from KRITIK users under 13 years old. KRITIK can be contacted at info@kritik.io. If you have reason to believe that a child under 13 years old has provided KRITIK with personal information, and that child’s parents or school have not provided KRITIK with adequate consent, please contact us at info@kritik.io. KRITIK complies with COPPA, and to the extent that any provision of this Privacy Policy conflicts with any provision of COPPA, the more restrictive provision applies.

Interpretation of this Privacy Policy
